Terms of Service

1. Business use only

BuyPass is provided solely for business and professional use by people acting on behalf of a company. It is not intended for consumers, personal use, or anyone under 18. By using BuyPass you confirm you are authorized to accept these terms for yourself and for the organization you represent.

2. What BuyPass is — and is not

BuyPass produces AI-generated inspections, buyer-path maps, benchmarks, suggested actions and draft communications. All output is informational only. It may be incomplete, inaccurate, out of date, or unsuitable for your specific situation.

BuyPass does not provide legal, financial, accounting, tax, procurement, compliance, security, privacy or other professional advice. Nothing produced by the service should be relied upon as such. Obtain qualified professional advice before acting on anything the service suggests.

3. You remain responsible

You are solely responsible for your sales decisions, forecast submissions, pipeline judgments, customer and internal communications, procurement assumptions, security and legal review, contract steps and any other action you take. You must review, verify and edit any AI output before you use or send it.

4. No guarantee of outcome

BuyPass makes no guarantee or representation about deal outcomes, close dates, buyer behavior, approval paths, cycle length, forecast accuracy, pipeline conversion, revenue results, or the completeness or correctness of any buyer-path model. Benchmarks and graphs are directional patterns, not predictions.

5. What you must not submit

You must not submit confidential information, information covered by an NDA or similar obligation, private buyer data, internal emails or documents, private or unpublished pricing, named buyer contacts, regulated personal or sensitive data (including health, financial account, government identifier or similar data), trade secrets, security findings, or any information you do not have the right to share.

BuyPass is designed for process-level information about how buying decisions move through an organization. Keep submissions at that level.

6. Your rights in what you submit

You represent and warrant that you have all rights, consents and authority necessary to submit any content you provide, and that doing so does not breach any contract, confidentiality obligation, policy or law.

7. How BuyPass may use contributed information

BuyPass may use process-level information you submit in aggregated, anonymized, normalized and de-identified form to improve buyer-path intelligence, benchmarks, models, product quality and AI outputs, and to build and operate the service. Aggregated and de-identified outputs do not identify you, your employer or any buyer, and BuyPass may retain and use them without restriction.

BuyPass may review, edit, reject, remove or refuse to publish any submission at any time, for any reason, including quality, policy or legal concerns.

8. Acceptable use

You must not reverse engineer, decompile, probe or attempt to derive the underlying models, prompts, data structures or graph; scrape, crawl or extract data by automated means; use the service to build, train or benchmark a competing product; resell, sublicense or provide the service to third parties; interfere with or overload the service; misrepresent submissions; or use the service unlawfully or abusively.

9. Accounts, credits and promotional terms

Accounts, free checks, credits, contribution rewards and invitation rewards are promotional, have no cash value, are non-transferable, and may be changed, limited, expired, withheld or withdrawn at any time. BuyPass may suspend or terminate access, remove credits, or refuse service where it suspects abuse, gaming, fraud or breach of these terms.

BuyPass may modify, suspend or discontinue any part of the service, and may update these terms. Continued use after an update means you accept the updated terms.

10. Disclaimer of warranties

To the maximum extent permitted by law, the service is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or that the service will be uninterrupted, secure or error-free.

11. Limitation of liability

To the maximum extent permitted by law, BuyPass and its officers, employees, suppliers and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost pipeline, lost or inaccurate forecasts, lost data, lost deals, or business interruption, arising out of or related to the service, even if advised of the possibility.

To the maximum extent permitted by law, total aggregate liability arising out of or related to the service will not exceed the greater of (a) the amounts you paid BuyPass for the service in the three months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

12. Indemnity

You will defend, indemnify and hold harmless BuyPass and its personnel from and against any claims, damages, liabilities, penalties, losses and reasonable legal fees arising out of or related to your use or misuse of the service, the content you submit, your breach of these terms, or your violation of any law or third-party right.

13. Governing law

These terms are governed by the laws of the State of California, excluding its conflict-of-laws rules. The state and federal courts located in San Francisco County, California will have exclusive jurisdiction, and you consent to that jurisdiction and venue.
